The German Corporate Stabilization and
Restructuring Act (StaRUG) has been in force since the beginning of 2021. This is intended to make it easier than before for companies to restructure out of court in the early stages of a crisis. A restructuring plan is drawn up for this purpose, which is voted on by the creditors according to the majority principle. If the majority vote in favor of the proposed measures, they can be implemented even if a minority opposes them.
However, the legal requirements for a StaRUG procedure are comprehensive and the process is complex. Many issues need to be considered to ensure that the restructuring is successful.

When does a StaRUG procedure even apply?
Our support begins with the analysis of the current state of the company. This is because restructuring proceedings may only be used by companies that are threatened with insolvency but are not yet actually insolvent. In addition, restructuring under the StaRUG is not always worthwhile – especially if comprehensive restructuring is required. In such cases, we examine the model’s chances of success and recommend alternative restructuring methods if necessary.
Complete support or specific support
If you decide to restructure, we will provide you with advice and support throughout the entire process. In doing so, we take into account the special features of restructuring, such as the usually short time horizon and, if necessary, filing with a restructuring court. Even if these proceedings are considered “out of court”, in many cases cooperation with a court is still necessary. This may be the case, for example, if enforcement measures by creditors are to be prevented. In addition, we support you in drawing up the restructuring plan, with the necessary calculations and checks and also in coordinating with the creditors involved. If you only require selected individual services, we will be happy to provide your restructuring team with the appropriate expertise.
